Bharat Gears Limited has informed the Exchange regarding 'Intimation under Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015'. We refer to our letter dated January 23, 2026 wherein, pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (the Regulations), we informed you that at the meeting of the Board of Directors of the Company held on January 23, 2026, the Board considered the legal opinion and opined that the power to determine the citizenship status of Mr. Surinder Paul Kanwar, Chairman and Managing Director of the Company vests exclusively with the Central Government and, accordingly, concluded that until any direction or order is issued by the Central Government in respect of his citizenship status, the citizenship status of Mr. Surinder Paul Kanwar, Chairman and Managing Director of the Company, continues to remain unchanged and he shall be regarded as a citizen of India. Thus, he shall continue to discharge his responsibilities as Chairman and Managing Director.This is to further inform you that the Board members have received an intimation from Mr. Surinder Paul Kanwar, Chairman and Managing Director of the Company vide his e-mail dated April 16, 2026 that he has received a communication from the Regional Passport Office regarding the revocation of his passport, with a right of appeal to the Central Passport Office. Acting on legal advice, he has promptly filed an appeal on April 15, 2026 before the competent authority at the Central Passport Office, seeking (i) a stay of the revocation during the pendency of the appeal and (ii) quashing of the revocation order.Mr. Kanwar has further clarified that as he concludes that the Central Passport Office is the authority empowered to adjudicate the revocation, he has immediately informed the Board at this substantive juncture i.e., upon filing the appeal.Mr. Kanwar has reiterated that the determination of his citizenship status lies exclusively with the Central Government (Ministry of Home Affairs) and the Board of Directors of the Company duly noted this position at its meeting held on January 23, 2026, after considering the independent legal opinion. Separately, he has also written to the Secretaries of the Ministry of Home Affairs and the Ministry of External Affairs vide his letter dated March 30, 2026 (through Speed Post on April 04, 2026), seeking clarification on his citizenship status, to which reply is still awaited.Mr. Kanwar has also assured that he remains fully mindful of his fiduciary duties and will continue to keep the Board promptly informed of any material developments and advised that the statutory authorities be informed accordingly in a fair and transparent manner.The Company will keep you informed of any material developments in this matter, as and when required, in accordance with applicable laws and regulations.You are requested to kindly take the same on record.
